• The company is seeking a senior-level contract specialist or paralegal for their Virtual Paralegal Service team in a remote, 1099 project-based role.
• SaaS review experience and contract drafting and redlining experience are required.

Responsibilities:

• Abstract contracts, build playbooks, review, and redline contracts using track changes in MS Word v10 or higher.
• Draft, review, and redline Nondisclosure Agreements, Consultant Agreements, Master Service Agreements, Purchase Orders, Statements of Work, Amendments, Assignments, and Terminations.
• Communicate regularly with Practice Area Director/Manager to discuss challenges, successes, and client activity.
• Continuously develop subject matter expertise.
• Maintain performance standards by ensuring availability to fulfill client-requested needs, ensuring high-quality work and efficiency.
• Pursue self-study reading and engage in one-on-one training with the Practice Area Director/Manager.
• Prepare contractual agreements based on current research methods and client needs.
• Collaborate with a legal team consisting of lawyers, paralegals, executives, and office staff.
• Ensure terms of contractual agreements are legally binding and in accordance with client desires.
• Assist clients in interpreting contracts to fulfill or terminate agreements on mutually amicable terms.
• Review contract terms to ensure they comply with client policies and applicable federal and state regulations.
• Clearly explain contract terminology to clients and interested parties in simple language.
• Self-monitor progress to submit drafts and documents in a timely manner.
• Proofread, edit, and fact-check legal documents for accuracy and consistency.
• Research regulations to ensure contracts are up-to-date and in compliance with laws.

Requirements:

• Minimum of ten years of specialized experience as a contract specialist or paralegal.
• Experience with software platforms including virtual interaction tools (Teams, Zoom), contract repositories, CRMs, and timekeeping systems.
• Training and/or certifications as a contract specialist or paralegal.
• Advanced computer skills and experience with Microsoft Office suite v.10 or above.
• Competent with Adobe Acrobat Pro.
• Ability to work collaboratively with internal and external stakeholders.
• Strong dedication to finding solutions that lead to the successful completion of tasks.
• Attention to detail and thoughtful assessment of projects and tasks.
